NDA-gated · PDF-watermarked · revocable

Confidential documents, actually kept confidential

Stop emailing the rent roll and hoping. Prospects sign your NDA before anything opens, every protected PDF carries their name, and you can see exactly who downloaded what — then take access away the moment the deal moves on.

How it protects the deal

NDA before anything opens

A prospect signs your NDA — your wording, or your own uploaded PDF — before a single confidential file is reachable. The signed copy is kept with the evidence of who signed it.

PDFs watermarked per recipient

Every protected PDF download is personalised to the person who took it. If an offering memorandum turns up somewhere it should not be, the document itself says who had it.

You see who did what

Who signed, when they opened the room, which files they viewed, what they downloaded and how often. Interest is visible before anyone calls you.

Access that expires

Grants carry an expiry and can be revoked instantly. A previously issued link stops working — revocation is rechecked at download, not just at login.

Tiered disclosure

Publish a teaser to everyone, hold the full OM behind the NDA, and keep leases and T-12s for the shortlist. One property, three levels of trust.

It feeds the CRM

Every signature and download becomes a CRM contact and activity automatically, with the property attached and the deal moved along.

Where brokers use them

Investment sales

Teaser goes wide; the OM, rent roll and T-12 sit behind the NDA. You know which of the twenty tyre-kickers actually opened the financials.

Business brokerage

Confidentiality is the whole product. Buyers sign before they learn the name of the business, and the CIM only reaches people who signed.

Landlord representation

Share floor plans and lease abstracts with a shortlist, revoke access the moment a suite is taken.

Questions

What is a CRE deal room?
A deal room is a controlled space for the confidential documents behind a listing — offering memorandum, rent roll, T-12, leases, title and survey — where access is granted per person rather than by forwarding files over email.
How is this different from a shared Dropbox or Drive folder?
A shared folder cannot make someone sign an NDA first, watermark protected PDFs for each recipient, reliably expire or revoke access once a link is out, or tell you who opened what. A deal room does all four.
Can I use my own NDA?
Yes. Use your own wording, or upload your own NDA PDF. The signed document is preserved along with the evidence of who signed it and when.
What does the watermark show?
Protected PDF downloads are personalised to the recipient, so a leaked PDF identifies the person who took it. Spreadsheet, document, image and ZIP downloads remain access-controlled and fully logged, but are not stamped.
Can I take access away?
Yes. Grants expire on a schedule you set and can be revoked at any time. Access is rechecked when a file is downloaded, so an old link stops working rather than quietly continuing to serve.
Do signers end up in my CRM?
Automatically. Signing an NDA or downloading a file creates or updates the contact, logs the activity against the property, and moves the deal forward — with no data entry.
